Terms of Service

Content: Any information, text, graphics, photos, videos, or other materials uploaded, downloaded, or appearing on the Platform.

Venture Pod: A work unit formed through the Platform by one or more Users ("Co-founders") to collaborate on a project or venture.

User: Any individual who accesses or uses the Platform, including as a Co-founder in a Venture Pod.

User Content: The umbrella term for all information, text, graphics, photos, or other materials a User submits to the Platform. User Content is categorised as either Personal Content or Pod Content.

Personal Content: User Content that an individual User creates, owns, and controls outside the context of a specific Venture Pod (e.g., your user profile, private notes, direct messages with other users).

Pod Content: User Content created, submitted, or stored within a Venture Pod's dedicated workspace (e.g., Pod chats, Missions, shared documents). Pod Content is collectively owned and controlled by the Co-founders of that Pod.

Service Fees: Any fees specified on the Platform for DAOStreet services, payable in Singapore Dollars ("SGD") unless stated otherwise.

3.1. Eligibility – You must be at least 18 years old and legally capable of forming a binding contract.

3.2. Account Information – Provide accurate, current, and complete information. Maintain the confidentiality of your credentials and all activity under your account.

3.3. One Person, One Account – You may hold only one DAOStreet account, must not share it, and may not transfer it.

4.1. Acceptable Use – You agree not to:

• a. Violate any law or regulation.
• b. Impersonate DAOStreet, a DAOStreet employee, another User, or any entity.
• c. Damage, disable, overburden, or impair the Platform.
• d. Use the Platform if you are under 18, even without an account (see Privacy Policy §9).

4.2. Monitoring & Enforcement – We may remove Content, suspend accounts, disclose identities, or take legal action where appropriate.

4.3. KYC & Identity Verification – DAOStreet may require Know-Your-Customer steps before enabling certain features, such as payment services, in the future.

5.1. Formation – Users may form and operate a Venture Pod through the Platform.

5.2. Neutral Infrastructure – Nothing in these Terms creates agency, partnership, joint-venture, employer–employee, or fiduciary relations between DAOStreet and any User or Pod. DAOStreet is not a member of any Pod.

5.3. Legal Status – The legal status, liability, and tax treatment of a Venture Pod are determined by applicable law and any agreements between its Co-founders (such as a Pod operating agreement). DAOStreet provides no legal, tax, or financial advice.

5.4. Co-founder Responsibility – Co-founders are solely responsible for the compliance, filings, and liabilities of their Pod.

6.1. DAOStreet IP – All Platform code, design, and content are owned by DAOStreet or its licensors and protected by law.

6.2. Limited Licence – Conditional on compliance with these Terms, DAOStreet grants you a non-exclusive, non-transferable, non-sublicensable licence to use the Platform solely to form, operate, and participate in Venture Pods.

6.3. Restrictions – You may not copy, modify, distribute, sell, create derivative works from, or exploit any part of the Platform except as expressly permitted.

6.4. Venture Pod IP – DAOStreet claims no ownership of intellectual property created within a Pod; ownership is governed by the Pod's operating agreement and applicable law.

6.5. Copyright Notice & Reporting – All Platform materials are © DAOStreet Labs Pte Ltd 2025. Report alleged infringements to hey@daostreet.io.

7.1. Ownership & Improvement Licence – You retain ownership of your Personal Content. The Co-founders of a Venture Pod collectively retain ownership of their Pod Content. In all cases, you grant DAOStreet a worldwide, royalty-free licence to use, host, and display User Content solely for the purpose of operating, maintaining, and improving the Platform.

• Revocability – You may revoke the improvement portion of this licence at any time by emailing privacy@daostreet.io. Revocation becomes effective 30 days after written confirmation from DAOStreet and does not affect prior uses.

7.2. Representations – You warrant that (i) you have the necessary rights to your User Content, (ii) it does not infringe others' rights, and (iii) it complies with law and these Terms.

7.3. Moderation – DAOStreet may monitor, remove, or edit User Content but is not obligated to do so.

8.1. Current Fee Schedule – The Platform is currently free to use. Any updates to this will be made with reasonable notice.

8.2. Future Commercial Terms – DAOStreet reserves the right to introduce fees in the future. Any such changes will be announced at least 14 days in advance. Potential future fees may include:

• a. Pay-as-you-go Service Fees for premium features;
• b. A platform fee calculated as a percentage of contribution credits created within a Venture Pod;
• c. A transaction fee on value transfers processed through a Venture Pod's wallet;

8.3. Payment Terms – Fees are due at point of service unless a different schedule is posted.

8.4. Taxes – You are responsible for any taxes arising from your use of the Platform or the Pod's activities.

9.1. Term – These Terms apply while you use the Platform.

9.2. Termination by You – You may close your account via in-app settings. Pod obligations survive.

9.3. Termination by DAOStreet – We may suspend or close accounts immediately for breach or risk reasons.

9.4. Effects of Termination – Your right to use the Platform ceases immediately. Data Export – DAOStreet will provide you, upon request, a machine-readable export of your personal data within 30 days of account closure, mirroring the Privacy Policy SLA.

9.5. Survival – Sections 6, 7, 8.4, 10–14, and any indemnities or limitations survive termination.

10.1. As-Is Basis – The Platform is provided "as is" and "as available".

10.2. No Guarantee – DAOStreet does not guarantee uninterrupted, secure, or error-free service.

10.3. No Legal or Financial Advice – Consult qualified professionals for your specific situation.

10.4. Regulated-Activity Disclaimer – DAOStreet is not a licensed money-services business, payment institution, or securities intermediary. Any on-chain transfers, if enabled, would occur peer-to-peer.

11.1. Exclusion – DAOStreet is not liable for indirect, incidental, or consequential damages.

11.2. Cap – DAOStreet's aggregate liability is (i) the total Service Fees you paid in the past 12 months or (ii) SGD 500, whichever is higher.

11.3. Jurisdictional Limits – Some jurisdictions disallow certain exclusions; clauses apply to the maximum extent permitted by law.

14.1. Informal Step – Contact DAOStreet first; we'll try to resolve within 30 days.

14.2. Arbitration – Unresolved disputes are referred to arbitration under the Singapore International Arbitration Centre (SIAC) Rules, seat Singapore, language English, one arbitrator.

14.3. Class-Action Waiver – Claims must be brought individually, not as part of a class.

(For disputes solely among Pod Co-founders, see the Pod's operating agreement.)

16.1. Posting & Effective Date – Revised Terms take effect when posted.

16.2. Continued Use – Continued access after the effective date constitutes acceptance.

16.3. Material Changes – We will provide 14 days' prior notice via the Platform or email for any material changes, particularly concerning fees.

17.1. Entire Agreement – These Terms, the Privacy Policy, and any applicable Side Letters constitute the entire agreement between you and DAOStreet.

17.2. Waiver – A failure to enforce any provision is not a waiver.

17.3. Severability – If any provision is unenforceable, the remainder stays in force.

17.4. Assignment – You may not assign these Terms; DAOStreet may assign them without consent.

17.5. Notices – DAOStreet may deliver notices via email or Platform postings.
