1. Introduction
Welcome to DAOStreet Labs Pte. Ltd. ("DAOStreet," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the DAOStreet website, mobile applications, and other online products and services (collectively, the "Platform").
Please read these Terms carefully. By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.
2. Definitions
Throughout these Terms, the following terms have the following meanings:
- "Content" means any information, text, graphics, photos, videos, or other materials uploaded, downloaded, or appearing on the Platform.
- "Venture Pod" means a general partnership formed or operated through the Platform by its Users.
- "User" means any individual who accesses or uses the Platform, including as a partner in a Venture Pod.
- "User Content" means any Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Platform.
3. Account Creation
3.1 Eligibility. To use the Platform, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By creating an account, you represent and warrant that you meet these requirements.
3.2 Account Information. When you register for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 One Person, One Account. You may not create or maintain more than one account. You may not share your account with any other person, and you may not transfer your account to anyone else.
4. Platform Usage
4.1 Acceptable Use. You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:
- In any way that violates any applicable law or regulation
- To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
- To impersonate or attempt to impersonate DAOStreet, a DAOStreet employee, another user, or any other person or entity
- To engage in any other conduct that could damage, disable, overburden, or impair the Platform
4.2 Monitoring and Enforcement. We have the right to:
- Remove or refuse to post any User Content for any reason
- Take any action with respect to any User Content that we deem necessary or appropriate
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform
- Terminate or suspend your access to all or part of the Platform for any violation of these Terms
4.3 AML / Sanctions Check (applies only when payments start). If your Venture Pod later chooses to receive crypto or other payments through DAOStreet, the partners must make sure the money is not coming from criminals or sanctioned persons. This means you must:
- Check the payer or wallet address against relevant government sanctions lists (e.g., the Swiss government's sanctions list run by SECO (State Secretariat for Economic Affairs), OFAC list, etc., as applicable to your Venture Pod's jurisdiction and operations); and
- Follow any automatic screening tool (an "oracle") that DAOStreet plugs in, which looks up new wallet addresses in real time.
If a wallet or person is flagged, you must refuse or return the payment.
5. Venture Pod Creation and Operation
5.1 Venture Pod Formation. The Platform enables Users to form and/or operate a Venture Pod, which is structured as a General Partnership, by completing the required information and paying the applicable fee (if any). DAOStreet facilitates aspects of the Venture Pod's setup and operation through the Platform but is not a party to the General Partnership itself, nor does DAOStreet become a partner in any Venture Pod.
5.2 Legal Status and Structure. Each Venture Pod formed or operated through the Platform is a General Partnership. Users acknowledge that General Partnerships have specific legal implications, including potential joint and several liability among partners, depending on the governing jurisdiction. The legal framework governing the Venture Pod will be that of the jurisdiction agreed upon by its partners and as stipulated in their Partnership Agreement. DAOStreet does not, by default, own, control, or manage any Venture Pod. The specific terms of DAOStreet's commercial engagement and financial relationship with Venture Pods, including potential future fees and equity considerations, are further detailed in Section 9 (Fees and Payment).
5.3 Partner Responsibility. The partners within each Venture Pod are solely responsible for the operation, management, compliance with applicable laws and regulations (including partnership, tax, and business laws), and the liabilities of their General Partnership. This includes defining the terms of their partnership through a Partnership Agreement. DAOStreet does not provide legal, financial, or tax advice regarding the formation or operation of Venture Pods or General Partnerships.
6. Intellectual Property
6.1 DAOStreet IP. The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by DAOStreet, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2 Limited License. As long as you comply with these Terms, DAOStreet grants you a limited, non‑exclusive, non‑transferable and non‑sublicensable licence to access and use the Platform solely for forming, operating, and participating in your Venture Pod(s). This licence does not allow you to copy, modify, sell, redistribute or otherwise commercially exploit the Platform itself.
6.3 Restrictions. You may not:
- Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as permitted by these Terms
- Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Platform
- Access or use for any commercial purposes any part of the Platform or any services or materials available through the Platform
6.4 Venture Pod IP. DAOStreet does not claim ownership of any intellectual property developed by Venture Pods or their partners. The ownership of intellectual property created within a Venture Pod is governed by the partnership agreement of that Venture Pod and applicable law.
6.5 Copyright & Infringing‑Content Notice. All Platform code, design, text, graphics and logos are © DAOStreet Labs Pte Ltd 2025. Users may not upload, share or distribute material that infringes another party's copyright. Suspected infringements can be reported to hey@daostreet.io; DAOStreet will investigate and remove infringing content where appropriate.
7. User Content
7.1 User Content Ownership. You retain all ownership rights in your User Content. By submitting User Content to the Platform, you grant DAOStreet a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, modify, distribute, publicly display, and publicly perform such User Content for the purpose of operating and improving the Platform.
7.2 User Content Representations. You represent and warrant that:
- You own or have the necessary rights to submit your User Content
- Your User Content does not violate the privacy rights, publicity rights, copyright, contractual rights, or any other rights of any person or entity
- Your User Content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
- Your User Content does not violate any applicable law or regulation
7.3 User Content Monitoring. DAOStreet has the right, but not the obligation, to monitor, edit, or remove any User Content. DAOStreet takes no responsibility and assumes no liability for any User Content posted by you or any third party.
8. Venture Pods as General Partnerships
8.1 Legal Structure (Plain-English). Each Venture Pod you form or participate in through DAOStreet is structured as a General Partnership. In simple terms, this typically means:
- Formation: A General Partnership can be formed by two or more persons (the "Partners") who agree to carry on a business in common with a view of profit. This agreement may be formal (a written Partnership Agreement) or informal, depending on the jurisdiction.
- Liability: Partners in a General Partnership typically have joint and several liability for the debts and obligations of the partnership. This means each partner can be held personally responsible for the full extent of the partnership's liabilities. This is a critical difference from structures like limited liability companies.
- Management and Authority: Unless otherwise agreed in a Partnership Agreement, partners usually share in the management of the partnership and have the authority to bind the partnership in the ordinary course of business.
- Registration: Depending on the jurisdiction and the nature of the business, General Partnerships may have registration or filing requirements.
- Governing Law: The specific rights, obligations, and characteristics of your General Partnership will be governed by the laws of the jurisdiction you and your partners choose for its operation and by the terms of your Partnership Agreement.
8.2 Partnership Agreement. It is strongly recommended that all Venture Pods operating as General Partnerships have a comprehensive written Partnership Agreement. This agreement should be drafted by the partners (ideally with legal counsel) and outline critical aspects such as contributions, profit/loss sharing, management responsibilities, decision-making processes, dispute resolution, admission/withdrawal of partners, and dissolution of the partnership. DAOStreet may provide tools or templates to help draft such agreements, but these are not a substitute for independent legal advice.
8.3 Eligibility & Authority Warranty. Each individual joining or forming a Venture Pod represents and warrants that they (i) are at least 18 years old and legally competent to enter into a partnership agreement, (ii) have the authority to bind themselves to the partnership, and (iii) will provide complete and accurate information as required for the operation of the Venture Pod and the Platform.
8.4 Legal and Regulatory Compliance. Partners in a Venture Pod are solely responsible for: (a) determining and complying with all legal requirements for forming and operating a General Partnership in their chosen jurisdiction(s), including any necessary registrations or filings; (b) drafting and adhering to their Partnership Agreement; and (c) managing all tax obligations and liabilities of the partnership and its partners. DAOStreet does not perform these filings or provide legal, tax, or compliance advice for General Partnerships.
8.5 Disclaimer: The information provided by DAOStreet regarding General Partnerships is for general informational purposes only and does not constitute legal advice. You and your fellow partners should consult with a qualified legal professional in the relevant jurisdiction(s) to understand the implications of forming and operating a General Partnership and to ensure compliance with all applicable laws.
9. Fees and Payment
9.1 Fee Structure, Potential Equity, and Reinvestment. DAOStreet may charge fees for certain services provided through the Platform ("Service Fees"). The current fee structure for such services, if any, will be available on the Platform and may be updated from time to time with reasonable notice to Users. In addition to or as an alternative to Service Fees, DAOStreet reserves the right to implement other commercial terms, including but not limited to: - A modest pay-as-you-go fee model for Platform usage or access to specific features. Such fees may be settled in designated currencies (e.g., Indian Rupees) or through platform-specific credits. - The right to reserve or acquire a small equity slice or equivalent interest in Venture Pods, particularly under circumstances such as, but not limited to, when a Venture Pod secures external funding. The specific terms and conditions for any such equity arrangement will be subject to a separate agreement or addendum to these Terms. Venture Pods and Users will receive ample advance notice regarding the introduction or modification of any fee structures or equity arrangements. DAOStreet is committed to transparency in its commercial terms. Furthermore, DAOStreet intends for any revenue or value generated from such fees or equity interests to be primarily reinvested into the Platform to support the growth, development, and success of Venture Pods.
9.2 Payment Terms. All fees due to DAOStreet are payable at the time of service or as otherwise specified in the applicable fee schedule or agreement. You agree to pay all fees and charges incurred in connection with your use of the Platform for which fees are applicable.
9.3 Taxes. You are responsible for paying all taxes associated with your use of the Platform and the activities of your Venture Pod. DAOStreet is not responsible for determining whether taxes apply to your transactions or the Venture Pod's operations, or for collecting, reporting, or remitting any taxes arising from any transaction or partnership activity.
10. Term and Termination
10.1 Term. These Terms will remain in full force and effect while you use the Platform.
10.2 Termination by You. You may terminate your account at any time by following the instructions on the Platform. Termination of your account does not affect the legal status, obligations, or liabilities of any Venture Pod in which you are a partner, nor your obligations as a partner under any Partnership Agreement or applicable law.
10.3 Termination by DAOStreet. DAOStreet may terminate or suspend your account and access to the Platform at any time, without prior notice or liability, for any reason, including if you breach these Terms.
10.4 Effect of Termination. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Disclaimers
11.1 As-Is Basis. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DAOSTREET EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 No Guarantees. DAOSTREET MAKES NO WARRANTY THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE.
11.3 Not Legal or Financial Advice. DAOSTREET DOES NOT PROVIDE LEGAL, FINANCIAL, OR TAX ADVICE. THE PLATFORM AND ANY INFORMATION OR TEMPLATES PROVIDED ARE FOR INFORMATIONAL PURPOSES ONLY AND NOT A SUBSTITUTE FOR ADVICE FROM A QUALIFIED PROFESSIONAL. YOU SHOULD CONSULT WITH A PROFESSIONAL ADVISOR FOR LEGAL, FINANCIAL, OR TAX ADVICE REGARDING YOUR SPECIFIC SITUATION AND THE OPERATION OF YOUR VENTURE POD.
12. Limitation of Liability
12.1 Exclusion of Damages. IN NO EVENT SHALL DAOSTREET, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES ARISING FROM THE LIABILITIES OF ANY VENTURE POD IN WHICH YOU PARTICIPATE.
12.2 Cap on Liability. IF DAOSTREET IS FOUND TO BE LIABLE, OUR LIABILITY TO YOU OR ANY THIRD PARTY IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO DAOSTREET IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR (B) $100.
12.3 Jurisdictional Limitations. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
13. Indemnification
You agree to defend, indemnify, and hold harmless DAOStreet, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Platform, or your activities as a partner in a Venture Pod, including any liabilities incurred by such Venture Pod.
14. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Singapore, without giving effect to any choice or conflict of law provision or rule.
15. Dispute Resolution
15.1 Informal Resolution. If you have any concern or dispute about the Platform, you agree to first try to resolve the dispute informally by contacting DAOStreet.
15.2 Formal Proceedings. If a dispute is not resolved within 30 days of submission, either party may bring a formal proceeding. Any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause.
15.3 Class Action Waiver. YOU AND DAOSTREET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
16. Force Majeure
DAOStreet shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay is a result of acts of nature, civil or military authority, acts of public enemy, war, accidents, fires, explosions, earthquakes, floods, or any other cause beyond the reasonable control of DAOStreet.
17. Changes to Terms
17.1 Updates to Terms. DAOStreet may revise these Terms at any time by posting the revised Terms on the Platform. The revised Terms will become effective immediately upon posting.
17.2 Continued Use. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the revised Terms.
17.3 Material Changes. If we make material changes to these Terms, we will provide notice through the Platform or by other means.
18. Miscellaneous
18.1 Entire Agreement. These Terms constitute the entire agreement between you and DAOStreet regarding the Platform and supersede all prior and contemporaneous written or oral agreements between you and DAOStreet.
18.2 Waiver. No waiver by DAOStreet of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of DAOStreet to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18.3 Severability. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
18.4 Assignment. You may not assign these Terms or any rights or obligations hereunder, by operation of law or otherwise, without DAOStreet's prior written consent. DAOStreet may assign these Terms without your consent.
18.5 Notices. Any notices or other communications provided by DAOStreet under these Terms will be given by posting to the Platform or via email.
